1. Acceptance of Terms

By accessing, browsing, or using this website or any affiliated services (the “Site”) operated by SoftwareDeals, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”). These Terms apply to all users, including but not limited to vendors, customers, affiliates, and third-party visitors.

If you do not agree to these Terms, you must immediately discontinue use of the Site. These Terms include and incorporate by reference our Privacy Policy, Shipping and Returns Policy, DMCA Policy, and all applicable provisions of U.S. federal law and the laws of the State of Texas.

“SoftwareDeals,” “we,” “our,” and “us” refer to SoftwareDeals and its subsidiaries, successors, assigns, and affiliated entities. “Customer,” “you,” and “user” refer to any individual or entity who accesses, browses, or transacts with the Site. “Product” refers to any good or service sold or distributed by SoftwareDeals.

All contracts, sales, licenses, and support engagements conducted through SoftwareDeals.com are legally binding agreements with DirectDeals, LLC.

3. Modifications to Terms

We reserve the right to modify or update these Terms at any time without prior notice. Changes become effective upon posting to the Site. Continued use of the Site constitutes your acceptance of those changes.

4. User Eligibility and Compliance

Use of this Site is limited to persons 13 years or older. By using the Site, you warrant that you are of legal age or are supervised by a legal guardian and are legally competent to enter into these Terms.

5. Privacy and Data Usage

All personal and transactional information collected on this Site is handled according to our Privacy Policy, consistent with applicable federal and Texas privacy regulations, including the Gramm-Leach-Bliley Act, CCPA (where applicable), and applicable sections of the FTC Act.

6. Sales Data Retention and Access Policy

SoftwareDeals retains all sales and transaction records for a period of no less than seven (7) years, and in certain cases up to ten (10) years, to comply with U.S. federal tax laws (IRS Code §§ 6001, 6501), Texas Comptroller audit rules (§111.0041), and statutes of limitation related to contract, fraud, and IP claims.

We make the past five (5) years of order history available via your customer account portal. Access to data beyond five years is available upon written request and subject to identity verification and legal justification. Archived data is retained solely for regulatory, legal defense, and compliance purposes, and retrieval is not guaranteed.

Until full payment is received, SoftwareDeals retains a purchase money security interest in all goods delivered. In case of default, SoftwareDeals may repossess goods, enforce liens, and pursue any rights available under the Uniform Commercial Code (UCC Article 9). Customers agree to execute any documentation necessary to perfect this interest.

10. Intellectual Property and Brand Use

All content on this Site is the intellectual property of DirectDeals, LLC or its licensors and is protected under U.S. copyright and trademark law. Any unauthorized reproduction, redistribution, or commercial use is strictly prohibited.

SoftwareDeals is not affiliated with, endorsed by, or a licensee of any third-party brand unless explicitly stated. Use of manufacturer or brand names is solely for the purpose of product identification under the Fair Use doctrine and First Sale Doctrine (17 U.S.C. § 109).

11. User Content and Submissions

By submitting reviews, testimonials, or other content, you grant SoftwareDeals a perpetual, royalty-free, non-exclusive right to use, reproduce, publish, and adapt such content globally. You are responsible for ensuring that submitted content does not violate intellectual property laws or third-party rights.

12. Technical Support Disclaimer

Any technical support, recommendations, or advice offered by SoftwareDeals or its agents is provided “as-is” and without any warranty. SoftwareDeals disclaims all responsibility for misuse or misapplication of such support.

13. DMCA Policy and Trademark Non-Affiliation

SoftwareDeals respects the intellectual property rights of others. If you believe your rights have been violated, submit a DMCA complaint to legal@directdeals.com. Complaints must follow the procedures outlined in 17 U.S.C. § 512.

14. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL DIRECTDEALS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES ARISING OUT OF YOUR USE OF THIS SITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DIRECTDEALS’ TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

15. Security and Fraud Prevention

These Terms shall be governed by the laws of the State of Texas and applicable U.S. federal law. Any disputes arising from or related to these Terms shall be resolved by binding arbitration in Bexar County, Texas, in accordance with the rules of the American Arbitration Association.

You waive your right to a trial by jury and to participate in any class action lawsuit.

18. Termination

SoftwareDeals reserves the right to suspend or terminate your account and access to the Site for any violation of these Terms. All obligations relating to payment, intellectual property, data usage, and legal compliance survive termination.

19. Entire Agreement

These Terms, including all referenced policies, constitute the entire agreement between you and SoftwareDeals. No verbal or prior agreements shall modify these Terms unless signed in writing by an officer of the company.
